• Some features, such as B2B / wholesale purchasing, may require you to create an account.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You agree to notify us immediately of any unauthorized use of your account.

K & L Outlet sells liquidated, surplus, closeout, and open-box merchandise. Because many products are liquidation or surplus items, they may vary in condition, packaging, and available quantities.

• Product descriptions, images, and prices are subject to change without notice.
• We make every effort to display products accurately, but we do not warrant that product descriptions, images, or other content are complete, current, or error-free.
• We reserve the right to limit quantities, refuse orders, or cancel orders at our discretion, including where a product is listed at an incorrect price or is no longer available.

• All prices are stated in U.S. Dollars (USD).
• The price you pay is the price displayed at checkout, including any applicable taxes and shipping charges.
• We accept the payment methods offered on the Site at the time of checkout. By submitting payment, you authorize us to charge the total amount shown at checkout.
• If we discover a pricing or other error, we will notify you and may cancel the affected order and refund any amount charged.

• Your order is an offer to purchase the products in your cart. We may accept or decline any order.
• Orders are deemed accepted when we confirm the order and, for orders paid by card, when the payment is authorized.
• We reserve the right to refuse, cancel, or limit any order, including orders that appear fraudulent or that we believe are placed by resellers outside the scope of our B2B program.

• Shipping is governed by our Shipping Policy.
• Returns and refunds are governed by our Refund / Return Policy.
• By placing an order, you agree to the terms of the Shipping Policy and the Refund / Return Policy as in effect at the time of purchase.

• B2B / wholesale pricing, terms, and quantities are available to approved accounts and are governed by separate agreements or the terms communicated at the time of approval.
• Wholesale orders are subject to applicable payment terms and may be subject to minimum order quantities.

• Sales tax, where applicable, is calculated and charged at checkout based on the delivery address and applicable law.
• For international orders, you are responsible for any customs duties, taxes, or import fees imposed by your country, as described in our Shipping Policy.

• All content on the Site, including text, graphics, logos, images, software, and the arrangement thereof, is the property of Alphabinary LLC or its licensors and is protected by applicable intellectual property laws.
• You may not copy, reproduce, distribute, or create derivative works from any content on the Site without our prior written consent.

You agree not to use the Site:

• To engage in any unlawful, fraudulent, or harmful activity;
• To interfere with or disrupt the Site or its servers;
• To attempt to gain unauthorized access to any part of the Site;
• To scrape, data-mine, or harvest content or data from the Site in violation of these Terms;
• To resell products outside the scope of your account type without our permission.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL PRODUCTS SOLD THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Because K & L Outlet sells liquidation, surplus, closeout, and open-box merchandise, we do not warrant that any product is free from minor cosmetic imperfections, that original packaging is intact, or that items are new or unused.

This disclaimer does not affect any warranties that cannot be excluded or limited under applicable law.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALPHABINARY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY PURCHASE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER THEORY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE OR A PURCHASE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless Alphabinary LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

• These Terms and any disputes arising out of or related to them or your use of the Site shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky and the United States of America, without regard to conflict-of-laws principles. No foreign or international law shall apply.
• Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the state or federal courts located in the Commonwealth of Kentucky.

• We may revise these Terms at any time by posting an updated version on the Site. The "Effective Date" at the top of this page indicates when the Terms were last revised.
• Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be construed or limited to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms, together with our Shipping Policy and Refund / Return Policy, constitute the entire agreement between you and Alphabinary LLC regarding your use of the Site and your purchases, and supersede any prior agreements.
